Different Properties Require Different Solutions.

Depending on the property, financing, equity, and seller’s goals, OGA may evaluate traditional cash purchases and alternative purchase structures.

BUILT AROUND THE OPPORTUNITY

Different Properties.
Different Solutions.

A traditional cash sale is not always the only way to structure a real estate transaction.

01 / PURCHASE STRUCTURE

Direct Cash Purchase

For properties that fit our acquisition criteria, OGA may purchase directly using a traditional cash transaction.

Potential benefits include an as-is purchase, reduced repair burden, flexible closing coordination, and direct negotiation.

02 / PURCHASE STRUCTURE

Seller Financing

Seller financing may allow the property owner to receive payments over time instead of receiving the entire purchase price at closing.

Terms to review include down payment, interest rate, monthly payment, term, balloon payment, security instrument, taxes, insurance, and existing liens.

03 / PURCHASE STRUCTURE

Subject-To Existing Financing

In a subject-to transaction, ownership of the property may transfer while an existing loan remains in the seller’s name, subject to the terms of the existing financing and transaction documents.

Subject-to transactions involve material legal and financial considerations, including existing loan obligations and possible lender rights. Sellers should review transaction documents and obtain independent legal, tax, or financial advice where appropriate.

04 / PURCHASE STRUCTURE

Installment-Based Structures

Some negotiated arrangements provide for payments at agreed intervals rather than the entire purchase price at closing.

Payment timing, transfer of ownership, default remedies, security, and tax treatment require careful review of the actual agreement.

05 / PURCHASE STRUCTURE

Other Negotiated Terms

A transaction may combine terms to address a property’s circumstances and the parties’ objectives.

No structure is available for every property. All parties must understand the written terms and their respective obligations.

Availability depends on the property, existing financing, seller objectives, applicable contracts, lender requirements, and applicable law.

Understand the Terms.
Make an Informed Decision.

Alternative structures are not universally better than a traditional sale. Review payment obligations, lender rights, risks, and the written transaction documents with independent legal, tax, or financial advisers where appropriate.
